Guarantee Asset Purchase Agreement
In addition to the flexibility to sell only certain assets and not the entire business, asset sale contracts generally contain detailed provisions regarding the transfer of liabilities from the seller. Schedules 1, 2, 3, 4, 5 and 6 should contain details about contracts, employees, intellectual property, investments, ownership and assets of third parties. It may not be possible to have a list of all contracts, depending on the nature of the transaction, and each transaction has a tailor-made agreement. Clause 2 defines the assets contained in the sale. Accounting debt shall be included in the assets under this Agreement. Other versions of the agreement are available if the accounting debt is not included in the assets. Plant, Contracts, Intellectual Property Rights and Property assets are included in the calendars.
